Subject to these Terms, you are granted a limited, revocable, non-exclusive, non-transferable, and non-sublicensable right to access and view the Site for lawful informational and business-evaluation purposes.

No ownership interest in the Site or its content is transferred to you.

THIS LIMITATION APPLIES WHETHER THE CLAIM IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, STATUTE, OR ANY OTHER LEGAL BASIS, EVEN IF WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

1. ONE HUNDRED U.S. DOLLARS; OR

2. THE AMOUNT YOU PAID SPECIFICALLY FOR ACCESS TO THE SITE DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Because access to the Site is generally provided without a separate fee, the first amount will ordinarily apply.

Some jurisdictions do not permit certain exclusions or limitations of liability. In those jurisdictions, the exclusions and limitations in these Terms will apply only to the maximum extent permitted by law.

Nothing in these Terms excludes liability that cannot legally be excluded.

14. Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Pro Web Team LLC, Tube Scale Pro, and their members, managers, officers, employees, contractors, representatives, affiliates, licensors, and service providers from and against claims, demands, liabilities, damages, judgments, losses, penalties, costs, and reasonable attorneys’ fees arising out of or relating to:

-Your infringement of another person’s intellectual-property, privacy, publicity, or other legal rights

You may not settle a covered claim in a manner that imposes liability, obligations, admissions, or restrictions on us without our prior written consent.

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-laws principles and to the extent not preempted by applicable federal law.

Nothing in this Section deprives you of any right or protection that cannot lawfully be waived.

These Terms, together with the Privacy Policy and any other website policy expressly incorporated by reference, constitute the entire agreement between you and Tube Scale Pro regarding access to and use of the Site.

Unless otherwise stated, revisions become effective when posted.

Your continued use of the Site after revised Terms are posted constitutes acceptance of the revised Terms.

Our failure to enforce any provision of these Terms does not waive our right to enforce that provision or any other provision later.

16.6 No Partnership or Agency

These Terms do not create a partnership, joint venture, employment, fiduciary, franchise, or agency relationship between you and Tube Scale Pro.

16.7 Force Majeure

We are not responsible for failure or delay caused by circumstances beyond our reasonable control, including natural disasters, severe weather, war, terrorism, civil unrest, labor disputes, government actions, public-health emergencies, internet failures, utility failures, hosting outages, cyberattacks, software failures, or third-party platform interruptions.

Section headings are provided for convenience only and do not affect interpretation.

16.9 Electronic Communications

You agree that notices and communications provided electronically may satisfy any legal requirement that communications be in writing, to the extent permitted by law.
